Terms and Conditions of Sale and Limited Warranty

These Terms and Conditions of Sale and Limited Warranty apply to purchases made through ridecolibri.com and any related online store operated by Colibri Tech S.R.L.

Please read these Terms carefully before placing an order. By placing an order, you confirm that you have read, understood and accepted these Terms.

In these Terms, “Colibri”, “Ride Colibri”, “we”, “us” or “our” refers to Colibri Tech S.R.L.

  1. Scope of these Terms

These Terms apply to the sale of Ride Colibri electric mopeds, framesets, components, spare parts, accessories, merchandise and related products sold through our website or directly by Colibri.

These Terms apply to both consumers and business customers, unless a specific section states otherwise or mandatory law provides different rights.

For consumers, nothing in these Terms limits or excludes any mandatory legal rights that apply under consumer protection law.

  1. Definitions

“Product” means any Ride Colibri M22, electric moped, frameset, component, spare part, accessory, merchandise or related item purchased from Colibri.

“Consumer” means a natural person purchasing a Product for purposes outside their trade, business, craft or profession.

“Business customer” means any company, legal entity, sole trader, professional user, reseller, fleet operator or any person purchasing a Product mainly for commercial or professional use.

“Commercial Warranty” means the voluntary limited warranty offered by Colibri under section 15 of these Terms.

“Legal Guarantee” means the mandatory rights that consumers may have under applicable consumer protection law, including the legal guarantee of conformity applicable in the European Union.

  1. Products

Colibri sells electric mopeds, framesets, parts and related equipment.

Product descriptions, technical specifications, images, colours, availability and pricing are displayed on our website.

We make reasonable efforts to ensure that all Product descriptions are accurate. However, images are for presentation purposes only and the final delivered Product may differ slightly in colour, finish, lighting equipment, small components or accessories, especially where changes are required by local regulations, supply availability or technical improvement.

We may update specifications, components, suppliers or minor design details from time to time, provided that the delivered Product remains equivalent or better in function and quality.

  1. Vehicle regulations and customer responsibility

Ride Colibri Products may be subject to vehicle registration, insurance, licence, helmet, age, road-use, import, homologation or other local legal requirements depending on the country or territory where they are used.

Before purchasing or using a Product, you are responsible for checking whether the Product can be legally imported, registered, insured and used in your country or territory.

Unless we expressly agree in writing to assist with registration or homologation, Colibri does not guarantee that a Product may be used on public roads in every country or jurisdiction.

Where we sell a Product as an EU road-legal version, this refers only to the specifications and approvals expressly stated on the Product page or order confirmation.

  1. Orders

You may place an order through our website or directly with Colibri.

When placing an order, you must provide accurate and complete contact, billing and shipping information. You are responsible for ensuring that this information remains correct until the Product is delivered.

After you place an order, we will send you an order confirmation by email. The contract between you and Colibri is formed when we confirm your order.

We may refuse, cancel or adjust an order if:

  • the Product is unavailable;

  • the price or Product information displayed contained an obvious error;

  • payment is not received or authorised;

  • the shipping information is incomplete or inaccurate;

  • the order appears fraudulent or unlawful;

  • the Product cannot legally or practically be shipped to the destination;

  • you do not comply with these Terms.

If we cancel an order after payment has been made, we will refund the amount paid, unless we are legally entitled to deduct specific costs or unless the order concerns a custom-made or clearly personalised Product for which different rules apply.

  1. Prices, VAT, duties and taxes

Prices are shown on our website or in the order confirmation.

Unless expressly stated otherwise, prices do not include delivery costs, customs duties, import taxes, registration fees, insurance, local vehicle taxes or other charges that may apply in the destination country.

VAT treatment may depend on the buyer’s location, status and shipping destination. Any VAT, import duties, customs charges or local taxes payable on import or registration are the customer’s responsibility unless we expressly state in writing that the order is delivered on a duty-paid basis.

We may change prices at any time. Price changes do not affect orders already confirmed, except where there has been an obvious pricing error.

  1. Payment

Accepted payment methods are displayed at checkout or agreed directly with Colibri.

For parts, accessories and merchandise, full payment is normally required at the time of order.

For electric mopeds, framesets or high-value Products, we may request:

  • full payment at order;

  • a deposit followed by final payment before shipment;

  • payment by bank transfer or invoice;

  • an agreed instalment schedule.

Where a deposit is required, the amount and conditions will be shown at checkout or confirmed in writing.

If we agree to an instalment plan, this is not a credit facility, loan or consumer financing product provided by Colibri. The Product will only be released for shipment after the full purchase price, shipping cost and any other agreed charges have been paid in full, unless we expressly agree otherwise in writing.

Ownership of the Product remains with Colibri until full payment has been received.

  1. Delivery and shipping

Delivery options and estimated shipping costs are displayed at checkout or confirmed separately.

Delivery dates are estimates unless we expressly confirm a binding delivery date in writing. Production, homologation, supply chain, logistics, customs or other delays may affect delivery timing.

If delivery is delayed, we will inform you and keep you updated. Nothing in these Terms limits any mandatory consumer right to cancel an order in case of late delivery.

We may provide tracking information where available, but we cannot guarantee that tracking will be available for all shipments or destinations.

You are responsible for receiving the delivery, providing accurate delivery information and collecting the Product from the carrier or delivery point where required.

If a Product cannot be delivered because you provided incorrect information, failed to respond to the carrier, failed to pay import charges, or failed to collect the Product, we may charge reasonable storage, handling, return shipping and re-delivery costs.

  1. Risk and ownership

For consumers, risk passes to you when you or a person nominated by you, other than the carrier, physically receives the Product, unless mandatory law provides otherwise.

For business customers, risk passes when the Product is handed over to the carrier or made available for collection, unless we agree otherwise in writing.

Ownership passes only after full payment has been received by Colibri.

  1. Inspection on delivery

Please inspect the Product as soon as possible after delivery.

If the Product arrives damaged, incomplete or visibly affected by transport, please notify us as soon as possible at support@ridecolibri.com and provide photos of the packaging, shipping label, damage and Product condition.

For business customers, visible transport damage, missing items or delivery issues must be reported within 5 business days from delivery. Failure to report within this period may affect the ability to claim against Colibri or the carrier, unless mandatory law provides otherwise.

For consumers, this section does not limit statutory rights.

  1. Right of withdrawal for consumers

If you are a consumer in the European Union, United Kingdom, Norway or another jurisdiction where a statutory right of withdrawal applies, you may have the right to withdraw from an online purchase within 14 days from the day you receive the Product.

To exercise the right of withdrawal, you must inform us clearly by email at support@ridecolibri.com before the withdrawal period expires.

If you withdraw from the purchase, you must return the Product without undue delay and in any event no later than 14 days from the date on which you informed us of your withdrawal.

You are responsible for the direct cost of returning the Product, unless mandatory law or our written offer states otherwise.

The Product must be returned complete, clean, undamaged and, where reasonably possible, in its original packaging with all accessories, manuals, keys, chargers, documents and supplied items.

You may inspect the Product as you would normally be allowed to do in a physical shop. You may be liable for any diminished value of the Product resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the Product.

Refunds will be made using the same payment method used for the original purchase, unless we agree otherwise. We may withhold the refund until we have received the returned Product or until you provide evidence that you have sent it back, whichever occurs first.

The right of withdrawal may not apply to Products that are made to order, clearly personalised, customised to your specifications, or otherwise exempt under applicable law.

  1. Cancellations before delivery

You may request to cancel an order before shipment by contacting us.

For standard Products that have not yet been shipped, we will normally accept cancellation and refund the amount paid.

For Products that are made to order, clearly personalised, customised, already in production, already assigned to you, or subject to special procurement, we may deduct reasonable costs already incurred, where permitted by law.

For consumers, nothing in this section limits any mandatory right of withdrawal or other statutory rights.

  1. Legal guarantee for consumers

If you are a consumer, you benefit from any mandatory legal guarantee of conformity that applies under the law of your country.

In the European Union, consumers have a legal guarantee that goods must conform to the contract. This legal guarantee is separate from and applies in addition to any Commercial Warranty offered by Colibri.

The Legal Guarantee may entitle consumers to remedies such as repair, replacement, price reduction or refund where a Product is not in conformity with the contract, subject to the conditions of applicable law.

The Commercial Warranty offered by Colibri does not replace, limit or exclude any mandatory Legal Guarantee or statutory consumer rights.

  1. Colibri 24-month Limited Commercial Warranty

Colibri offers a 24-month Limited Commercial Warranty for Ride Colibri Products, starting from the date of delivery, subject to the conditions below.

This Commercial Warranty applies to defects in materials or workmanship under normal use, normal maintenance and correct operation in accordance with the user manual.

The 24-month Commercial Warranty covers manufacturing defects affecting:

  • frameset and structural frame components;

  • mechanical components;

  • electrical and electronic components;

  • battery pack;

  • BMS;

  • motor;

  • controller;

  • charger supplied by Colibri;

  • display;

  • wiring harness;

  • sensors;

  • switches;

  • lighting components;

  • other original components supplied by Colibri as part of the Product.

This warranty covers defects. It does not cover damage, failure or reduced performance caused by misuse, abnormal use, improper maintenance, unauthorised modification, incorrect assembly by the customer or a third party, unsuitable storage, improper charging, water damage beyond the Product’s stated protection level, crash damage, racing, overloading, commercial abuse, rental use, courier fleet use unless agreed in writing, or use outside the Product’s intended purpose.

If a defect covered by this Commercial Warranty is confirmed, Colibri may, at its discretion and subject to applicable law:

  • repair the defective Product or component;

  • replace the defective component with a new or refurbished equivalent component;

  • provide replacement parts and instructions;

  • arrange repair through an authorised service partner;

  • offer a partial refund or other remedy where repair or replacement is not practical.

Replacement parts may be new, refurbished or equivalent parts, provided they restore the Product to proper function.

A repair or replacement under this Commercial Warranty does not restart the warranty period unless mandatory law provides otherwise.

  1. Battery warranty and battery degradation

The battery is covered by the 24-month Limited Commercial Warranty against defects in materials or workmanship, including manufacturing defects affecting cells, BMS function, charging function or abnormal electrical failure under normal use.

Batteries are consumable components. Battery capacity and range naturally decrease over time, with age, charge cycles, temperature, storage conditions and usage patterns.

Normal battery ageing, normal reduction in range, normal reduction in capacity and normal performance variation are not considered defects and are not covered by this Commercial Warranty.

The battery warranty does not cover damage or abnormal degradation caused by:

  • use of non-approved chargers;

  • incorrect charging;

  • deep discharge;

  • leaving the battery discharged for extended periods;

  • storage outside recommended temperature or charge level;

  • overheating or freezing;

  • water ingress or humidity damage beyond the Product’s stated protection level;

  • physical impact or crash damage;

  • opening, tampering with or modifying the battery pack or BMS;

  • short circuit, misuse or improper electrical connection;

  • use in conditions not permitted by the user manual.

To benefit from battery warranty coverage, you may be required to provide diagnostic information, charging history, usage details, photos, videos or other reasonable evidence requested by Colibri.

  1. Exclusions from the Commercial Warranty

The Commercial Warranty does not cover:

  • normal wear and tear;

  • tyres;

  • brake pads;

  • chains, belts or drivetrain wear items;

  • bearings affected by wear, contamination or lack of maintenance;

  • cables, grips, rubber parts and seals affected by normal use;

  • scratches, paint chips, cosmetic marks or cosmetic deterioration that does not affect function or safety;

  • corrosion caused by poor storage, salt, chemicals, humidity or lack of cleaning;

  • damage caused by accidents, crashes, drops, impacts or transport after delivery;

  • damage caused by incorrect assembly, incorrect adjustment or incorrect installation of accessories;

  • damage caused by unauthorised repair or modification;

  • damage caused by software changes, controller changes or speed/power modifications;

  • damage caused by use of non-approved chargers, batteries, controllers or accessories;

  • damage caused by water pressure washing, immersion, flooding or water ingress beyond the Product’s stated protection level;

  • damage caused by overloading, stunt use, racing, competition or use outside the intended purpose;

  • damage caused by failure to follow the user manual, maintenance schedule or safety instructions;

  • loss of time, loss of use, inconvenience, transport costs, accommodation, loss of profit or indirect losses, unless mandatory law provides otherwise.

  1. Warranty claim procedure

To make a warranty claim, contact us at support@ridecolibri.com and provide:

  • your full name;

  • order number or invoice number;

  • Product serial number or VIN, if applicable;

  • date of delivery;

  • clear description of the issue;

  • photos and videos showing the issue;

  • any relevant diagnostic information;

  • proof of purchase.

We may ask for additional information to assess the claim.

Do not continue using the Product if doing so may worsen the damage or create a safety risk.

Colibri will review the claim and normally respond within a reasonable time. If the claim is accepted, we will inform you of the proposed remedy and next steps.

If the Product or component must be returned for inspection, we will provide instructions. You must not send Products or parts back without prior confirmation from Colibri.

If the claim is accepted as covered by warranty, reasonable shipping or repair arrangements will be handled in accordance with applicable law and our instructions.

If the claim is not covered by warranty, we may offer a paid repair, replacement part or technical support.

  1. Repairs outside warranty

If a Product is outside the warranty period or the issue is not covered by the Commercial Warranty, Colibri may, where possible, offer spare parts, paid repair support, diagnostic assistance or referral to a service partner.

Any paid repair or replacement will be quoted separately.

  1. Product safety

You must use the Product responsibly and in accordance with the user manual, local law and common safety standards.

You must not use the Product if it appears damaged, unsafe, electrically faulty, structurally compromised or affected by battery, brake, steering, suspension or control issues.

If you suspect a battery problem, stop using and charging the Product immediately and contact Colibri.

  1. Limitation of liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, intentional misconduct or mandatory consumer rights.

For consumers, Colibri is responsible for foreseeable loss and damage caused by breach of contract or failure to use reasonable care and skill, subject to applicable law.

For business customers, to the maximum extent permitted by law:

  • Colibri is not liable for loss of profit, loss of revenue, loss of business, loss of contracts, loss of goodwill, loss of production, downtime, indirect loss or consequential loss;

  • Colibri’s total liability arising out of or in connection with an order is limited to the amount paid for the Product giving rise to the claim.

  1. Force majeure

Colibri is not liable for delay or failure to perform caused by events outside our reasonable control, including supplier delays, transport disruption, customs delays, war, strikes, pandemics, natural disasters, fire, flood, energy shortages, regulatory changes, technical failures, import/export restrictions or other events beyond our control.

If such an event affects your order, we will inform you and take reasonable steps to minimise the impact.

For consumers, nothing in this section limits mandatory rights in case of substantial delay or non-performance.

  1. Intellectual property

All trademarks, designs, images, text, product names, logos, drawings, technical information and website content are owned by or licensed to Colibri.

You may not copy, reproduce, distribute, modify or use our intellectual property without our prior written consent.

  1. Privacy

We process personal data in accordance with our Privacy Policy, available on our website.

We may share necessary order, payment and delivery information with payment providers, logistics providers, customs agents, service partners and other third parties involved in processing your order.

  1. Errors on the website

We try to keep our website accurate and up to date. However, errors may occur in prices, descriptions, availability, images, specifications, taxes or shipping information.

If an obvious error affects your order, we will contact you as soon as possible. We may correct the error, ask you to confirm the order on the corrected basis, or cancel the order and refund any amount paid.

  1. Governing law and disputes

These Terms are governed by the laws of Romania, unless mandatory consumer protection law in your country gives you additional rights.

If you are a consumer, you may have the right to bring a claim before the courts or consumer protection authorities of your country of residence, where mandatory law provides this.

If you are a business customer, any dispute arising out of or in connection with these Terms shall be submitted to the competent courts of Romania, unless otherwise agreed in writing.
